Welcome to Ipilenios Tailormate. By accessing or using our platform, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you may not use our services.

1. Acceptance of Terms

By creating an account, accessing, or using Ipilenios Tailormate (the "Platform"), you agree to comply with and be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and Ipilenios Tailormate.

2. Account Requirements

2.1 Eligibility

• You must be at least 18 years old to create an account and use our services
• You must provide accurate, current, and complete information during registration
• You may only maintain one account per person
• You must be legally capable of entering into binding contracts under Philippine law

2.2 Account Security

• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activities that occur under your account
• You must immediately notify us of any unauthorized use of your account
• We are not liable for any loss or damage arising from your failure to protect your account

3. User Conduct

You agree not to:

• Violate any applicable laws or regulations
• Infringe upon the intellectual property rights of others
• Post false, misleading, or fraudulent content
• Engage in harassment, abuse, or hate speech
• Attempt to gain unauthorized access to the Platform or other users' accounts
• Use automated systems (bots, scrapers) without permission
• Interfere with or disrupt the Platform's functionality
• Create fake accounts or impersonate others
• Engage in any form of spam or unsolicited marketing

4. Seller Obligations

4.1 Business Documentation

• Provide valid business permits and TIN registration
• Submit authentic and current identification documents
• Maintain compliance with Philippine business regulations
• Update documentation when renewed or changed

4.2 Product Listings

• Provide accurate descriptions, pricing, and images
• Clearly state materials, dimensions, and customization options
• Honor advertised prices and delivery timeframes
• Only list items you can actually produce and deliver

4.3 Order Fulfillment

• Respond to customer inquiries within 24 hours
• Complete orders within agreed timeframes
• Maintain quality standards as advertised
• Provide tracking information when applicable
• Handle alterations and adjustments professionally

5. Customer Obligations

5.1 Accurate Information

• Provide accurate measurements when required
• Communicate clearly about customization needs
• Respond promptly to tailor questions or requests
• Provide valid delivery information

5.2 Payment

• Complete payment as agreed upon
• Use legitimate payment methods
• Not initiate chargebacks fraudulently

6. Platform Role and Limitations

6.1 Marketplace Facilitator

Ipilenios Tailormate operates as a marketplace platform connecting customers with tailors. We are not a party to transactions between users. The contract for services exists directly between customers and sellers.

6.2 No Guarantee

• We do not guarantee the quality, safety, or legality of items listed
• We do not guarantee the accuracy of user-provided information
• We do not guarantee that sellers will fulfill orders
• We are not responsible for disputes between users

6.3 Dispute Resolution

While we may assist in facilitating communication for disputes, we are not obligated to resolve conflicts between users. Users are encouraged to resolve disputes directly or through appropriate legal channels.

7. Payments and Fees

7.1 Platform Fees

Ipilenios Tailormate may charge commission fees or service charges as outlined in our fee schedule. Fees are subject to change with reasonable notice.

7.2 Payment Processing

• Payments are processed through third-party payment processors
• You must comply with payment processor terms
• Processing fees may apply

7.3 Refunds

Refund policies are determined by individual sellers. The Platform may facilitate refund processes but is not responsible for issuing refunds unless required by law.

8. Intellectual Property

8.1 Platform Content

All content on the Platform, including logos, designs, text, graphics, and software, is owned by Ipilenios Tailormate or licensed to us. You may not reproduce, distribute, or create derivative works without permission.

8.2 User Content

• You retain ownership of content you post (photos, descriptions, etc.)
• You grant us a license to use, display, and distribute your content on the Platform
• You represent that you have rights to all content you post
• You will not post content that infringes others' intellectual property

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY PHILIPPINE LAW:

• The Platform is provided "as is" without warranties of any kind
• We are not liable for indirect, incidental, or consequential damages
• Our total liability shall not exceed the fees paid by you in the past 12 months
• We are not liable for user actions, third-party services, or force majeure events
• You use the Platform at your own risk

10. Indemnification

You agree to indemnify and hold harmless Ipilenios Tailormate, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any rights of another party
• Your content or listings

11. Account Termination

11.1 By You

You may close your account at any time by contacting support. You remain responsible for completing pending orders.

11.2 By Us

We may suspend or terminate your account if you:

• Violate these Terms
• Engage in fraudulent activity
• Fail to provide required documentation
• Receive excessive complaints
• Engage in illegal activities

11.3 Effect of Termination

Upon termination, you lose access to your account. You must complete any pending orders. We may retain certain information as required by law.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify users of significant changes via email or Platform notice. Continued use after changes constitutes acceptance of modified Terms.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of the Philippines. Any disputes shall be resolved in the appropriate courts of the Philippines. You consent to the jurisdiction of Philippine courts.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full effect.

15. Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and Ipilenios Tailormate regarding use of the Platform.
